HOW TO SELL TO US
LANOLLA HOLDINGS INC.
CONSIGNMENT & SALES AGREEMENT
Effective Date: November 1, 2025
THE TERMS AND CONDITIONS IN THIS CONSIGNMENT & SALES AGREEMENT (“AGREEMENT”) FORM A LEGALLY BINDING CONTRACT BETWEEN YOU (“YOU” OR “YOUR”) AND LANOLLA HOLDINGS INC. (“LANOLLA,” “WE,” “US,” OR “OUR”). PLEASE READ THIS AGREEMENT CAREFULLY.
BY CLICKING “AGREE,” YOU CONFIRM THAT YOU HAVE READ, UNDERSTAND, AND ACCEPT ALL TERMS OF THIS AGREEMENT.
THIS AGREEMENT REQUIRES ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
Lanolla Holdings Inc.’s Terms of Service, located at:

are incorporated into this Agreement by reference.
Once accepted, this Agreement remains in effect until terminated by You or Us according to the terms below.
1. OVERVIEW; ACCOUNT CREATION
Lanolla Holdings Inc. operates a luxury resale marketplace specializing in designer handbags, accessories, and related items (the “Service”). To sell items with Us, You must create a seller account and provide accurate contact and payment information.
You may submit property to Us for one or more of the following:

Consignment – Items remain legally Yours until sold.

Upfront Purchase – We may offer to buy eligible items directly.
-
Trade-In – You may trade eligible items for Site credit.
-
A combination of any of the above.
2. CONSIGNMENT
2.1 Ownership of Consigned Items
If You consign items (“Consigned Property”), You retain ownership until the item is sold (“Sold”), lost, stolen, destroyed, or otherwise becomes non-returnable.
2.2 Delivery & Risk of Loss
Lanolla assumes responsibility only when:

We take physical possession, or
-
You use our approved shipping label and method, and the shipment is scanned into the carrier’s system (“Approved Transit”).
If an item is damaged, lost, or stolen while in our possession or during Approved Transit, we will treat the item as Sold and issue payment based on an estimated Net Selling Price determined solely by Us.
This remedy is Your exclusive remedy for any loss or damage.
2.3 Acceptance Conditions
We may accept or reject items for any reason. In general, items must be:

Authentic
-
In fair to pristine condition
-
Free of restrictions (e.g., stolen goods, gray market)

Accurately described by You
Accepted items become “Accepted Items.”
2.4 Consignment Period
The Consignment Period lasts 365 days from the date of acceptance.
Before an item is Sold, You may request its return, subject to:

Return fees
-
Shipping costs
-
Our Return Policy
If an Accepted Item remains unsold after 365 days, You may choose to:

Have the item returned (at Our expense), or
-
Allow Us to repurpose or donate it.
If We cannot reach You after reasonable attempts, We may discount, sell, repurpose, or donate the item without further notice.
2.5 Pricing
Prices are determined solely by Lanolla unless we have agreed otherwise in writing.
We may:

Apply discounts
-
Run promotions
-
Adjust pricing
-
Take any action necessary to sell items efficiently
3. COMMISSIONS & PAYMENT
You will receive a Commission for each Sold item.
Definitions
-
Net Selling Price: Final sale price after discounts/promotions, excluding tax and shipping.

Commission Rate: Published at https://lanolla.com/pages/commission-structure (subject to change).
Payment Schedule
Payments begin processing on the 15th of each month for items sold in the previous month.
Payment Methods
We may pay You by:

Direct deposit
-
Site credit
-
Check (may incur processing fee)
Disputes & Withholding
If a dispute arises, Lanolla may withhold all payments—including unrelated payments—until the dispute is resolved.
4. UPFRONT PURCHASE
We may, at Our discretion, offer to purchase items outright.
Authentication & Inspection
We may require additional documentation, including proof of purchase, compliance documentation, or identity verification.
Offer Price
The Offer Price is determined solely by Lanolla. You have 7 days to accept.
Upon signing the Final Offer to Purchase:

Ownership transfers to Lanolla

The transaction is final
-
No refunds or reversals are permitted
5. RETURN POLICY
If We refuse an item after inspection:
-
The item is returned at Your expense
-
Return fees may apply
If You cancel consignment or Upfront Purchase after shipment:
-
A return fee of 1.99% (minimum $100) applies
If authenticity cannot be confirmed:
-
You may pay $250 for return, otherwise the item may be destroyed or turned over to law enforcement.
6. COUNTERFEIT, UNAUTHENTICATED, OR STOLEN GOODS
If we determine an item is counterfeit or likely stolen:
-
It will not be returned
-
It may be destroyed or turned over to law enforcement

Your account may be permanently banned
-
We may disclose your information to authorities or brands if legally required
Lanolla fully cooperates with all investigative bodies.
7. TERMINATION
Either party may terminate this Agreement at any time, in writing.
Lanolla may deny service to any customer engaging in abusive, fraudulent, or disruptive behavior.
8. NO ASSIGNMENT
You may not assign this Agreement without written consent. Unauthorized assignments are void.
9. DISCLAIMER OF WARRANTIES
The Service is provided “AS IS” and “AS AVAILABLE.”
Lanolla disclaims all warranties, express or implied.
10. LIMITATION OF LIABILITY
Lanolla is not liable for:

Indirect, incidental, special, or consequential damages
-
Lost profits
-
Loss of data
-
Interruption of business
Lanolla’s maximum liability will never exceed the amount paid or received in connection with Your items.
11. REPRESENTATIONS & INDEMNIFICATION
You represent and warrant that:

You are at least 18
-
You own the property outright
-
Items are authentic
-
Items are not stolen or counterfeit
-
You are not violating any laws
You agree to indemnify and hold Lanolla harmless against all claims arising out of:
-
Authenticity disputes
-
Ownership disputes
-
Illegal goods
-
Trademark/copyright issues
-
Any breach of this Agreement
12. GOVERNING LAW
This Agreement is governed exclusively by the laws of the State of Delaware.
Any court-based matters (if arbitration does not apply) must be filed in New Castle County, Delaware.
13. AMENDMENTS
Lanolla may update this Agreement with 30 days’ notice.
Commission rates may change without notice and are effective immediately.
14. ENTIRE AGREEMENT
This Agreement supersedes all prior agreements.
15. DISPUTE RESOLUTION & ARBITRATION
All disputes must follow this process:
Step 1: Informal Resolution
You must notify Us and attempt a 60-day informal resolution period.
Step 2: Binding Arbitration
If unresolved, disputes are decided by JAMS arbitration, individually, not as a class action.
Class Action Waiver
You waive:

The right to a jury trial
-
The right to participate in any class action or collective action

All notices must be in writing and sent to:
