LANOLLA HOLDINGS INC. — TERMS OF SERVICE

Effective Date: November 16, 2025

PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING AN ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER.

By accessing or using the websites, livestreams, digital platforms, or services offered by Lanolla Holdings Inc. (“Lanolla,” “we,” “us,” or “our”), including purchasing, consigning, or listing products through any Lanolla-owned channel, you (“you” or “User”) agree to be bound by these Terms.

If you do not agree, do not use our Services.

1. OVERVIEW OF SERVICES

Lanolla Holdings Inc. operates a multi-channel retail and resale platform, which may include:

  • Websites and mobile sites

  • Live shopping channels (including Whatnot or others)

  • E-commerce storefronts

  • Consignment and resale programs

  • Marketplace listings on third-party platforms

  • Email/SMS marketing communications

  • Social media content & livestreams

By using any Lanolla Service, you acknowledge that:

  • Inventory changes rapidly

  • Prices may change at any time

  • Products may be cross-listed across multiple sales channels

  • Lanolla reserves the right to refuse service to anyone for any reason

2. ELIGIBILITY

You must be:

  • At least 18 years old, and

  • Legally able to enter into binding contracts

You agree to provide accurate information and to maintain the confidentiality of your account credentials.

You are responsible for all activity under your account.

3. PRODUCT LISTINGS, PRICING, AND AVAILABILITY

Lanolla strives to provide accurate product information, but:

  • We do not guarantee accuracy of descriptions, colors, materials, or authenticity claims made by third-party sellers.

  • Products may sell through on other platforms before your checkout is completed.

  • Prices are subject to change without notice.

Lanolla reserves the right to:

  • Refuse or cancel any order

  • Limit quantities

  • Modify or discontinue any product

  • Correct pricing errors at any time

If an order is canceled, we will refund you promptly.

4. SHIPPING, DELIVERY, AND RISK OF LOSS

Once an order is submitted:

  • Shipping times are estimates only

  • Risk of loss passes to you upon our delivery to the carrier

  • Delivery delays outside our control do not constitute breach

International shipments may incur customs fees or delays, which are your responsibility.

5. RETURNS, EXCHANGES, AND FINAL SALES

Unless explicitly stated otherwise:

  • All sales are final.

  • Luxury items, authenticated goods, auction purchases, “Buy It Now” items, and livestream purchases are non-refundable.

  • Returns are accepted only if Lanolla’s written policy expressly permits it.

Lanolla may refuse returns for:

  • Suspected fraud

  • Swapped items

  • Excessive wear

  • Missing parts, tags, or packaging

6. CONSIGNMENT & MARKETPLACE SALES (If Applicable)

If you consign items to Lanolla, or submit goods for evaluation or sale:

  • You represent that you legally own the goods

  • You warrant items are authentic unless otherwise stated

  • Lanolla may accept, reject, reprice, discount, or remove items at its sole discretion

  • You agree to all consignment terms contained in our Consignment Agreement (incorporated by reference)

Lanolla may:

  • Charge fees

  • Destroy counterfeit items

  • Comply with law enforcement inquiries

7. AUTHENTICITY & BRAND DISCLAIMER

Lanolla is not affiliated with, endorsed by, or partnered with any luxury brand, including (but not limited to):

Louis Vuitton, Chanel, Gucci, Dior, Fendi, Hermès, Prada, Coach, Burberry, Bottega Veneta, or any other brand.

All trademarks belong to their respective owners.

Lanolla sells pre-owned or independently sourced items, and:

  • Makes no representation that items are new or directly purchased from a brand

  • Utilizes independent authentication processes

  • Is not liable for errors made by third-party authenticators

8. LIVESTREAM SALES, AUCTIONS, & PROMOTIONS

By participating in Lanolla livestreams:

  • Bids are binding

  • Auctions may move quickly

  • Misunderstood bids do not void sales

  • Host commentary is opinion and informational only

  • Lanolla may mute, block, or remove users

Lanolla may modify or end promotions at any time.

9. USER CONTENT

Any reviews, photos, videos, comments, or content you post or submit:

  • Must not infringe any rights

  • Must not contain illegal, defamatory, or harmful material

  • May be used by Lanolla for marketing or commercial purposes

You grant Lanolla a perpetual, royalty-free, worldwide, sublicensable license to use, reproduce, and display your content.

10. PROHIBITED USES

You agree not to:

  • Engage in fraud, chargebacks, or return abuse

  • Distribute viruses or malicious software

  • Attempt to scrape, mine, or steal website data

  • Use Lanolla’s brand for unauthorized commercial use

  • Interfere with livestreams or sales events

We may terminate or block any User violating these Terms.

11. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

  • LANOLLA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

  • WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ACCURACY, OR ERROR-FREE OPERATION.

You use the Services at your own risk.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW:

LANOLLA HOLDINGS INC. SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES

  • LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL

  • PLATFORM OUTAGES OR ERRORS

  • SHIPPING DELAYS OR ERRORS

  • AUTHENTICATION ERRORS BY THIRD PARTIES

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE ITEM IN QUESTION.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Lanolla Holdings Inc. from any claims, losses, liabilities, damages, or expenses resulting from:

  • Your use of the Services

  • Your violation of these Terms

  • Your sale or submission of counterfeit or infringing items

  • Your breach of any representations

14. ARBITRATION AGREEMENT & CLASS-ACTION WAIVER

YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, NOT COURT.

YOU WAIVE ANY RIGHT TO:

  • A JURY TRIAL

  • PARTICIPATE IN A CLASS ACTION

  • BRING OR JOIN REPRESENTATIVE CLAIMS

Arbitration will be administered by JAMS or AAA, conducted in Illinois or another mutually agreed location.

If the arbitration clause is deemed unenforceable, disputes must be brought only in Illinois state or federal courts.

15. MODIFICATIONS TO TERMS

Lanolla may update these Terms at any time, with or without notice. Continued use of the Services constitutes acceptance of updated Terms.

16. GOVERNING LAW

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
